Terms of Service

1. Service Description

Simpler Recycling Audit is a Software-as-a-Service (SaaS) platform designed to help UK businesses maintain digital audit trails for compliance with the Simpler Recycling regulations (effective 31 March 2025 for most businesses, 31 March 2027 for micro-firms).

The Service includes:

• Digital storage and organization of Waste Transfer Notes (WTNs)
• Compliance status tracking for waste streams
• Contamination incident logging
• Collection schedule management
• Compliance report generation

Important: This Service is a compliance tracking tool. It does not constitute legal advice. You are responsible for ensuring your business meets all legal requirements under the Simpler Recycling regulations.

2. Eligibility

You must be at least 18 years old and authorized to enter into binding contracts to use this Service. By registering, you confirm that all information you provide is accurate and that you have the authority to bind your business to these Terms.

3. Account Registration and Security

To use the Service, you must:

• Create an account with accurate business information
• Verify your email address
• Maintain the confidentiality of your login credentials
• Notify us immediately of any unauthorized access to your account

You are responsible for all activities that occur under your account. We reserve the right to suspend or terminate accounts that violate these Terms.

4. Subscription and Payment

The Service operates on a subscription basis with the following terms:

• Subscriptions are billed monthly or annually (as selected during purchase)
• All prices are listed in GBP and exclude VAT unless otherwise stated
• Payment is processed securely through Stripe
• Your subscription automatically renews unless cancelled before the renewal date
• We reserve the right to change pricing with 30 days' notice to existing subscribers

By subscribing, you authorize us to charge your payment method for the subscription fees. Failure to pay may result in suspension or termination of your account.

5. Cancellation and Refunds

You may cancel your subscription at any time through your account settings. Upon cancellation:

• You will retain access until the end of your current billing period
• No refunds will be provided for partial months or unused time
• Your data will be retained for 2 years as outlined in our Privacy Policy, unless you request immediate deletion

6. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

• Upload malicious files, viruses, or harmful code
• Attempt to gain unauthorized access to our systems or other users' accounts
• Use the Service to store or transmit illegal content
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or attempt to extract source code
• Resell or redistribute the Service without authorization
• Use the Service in a manner that violates UK data protection laws

We reserve the right to investigate and take appropriate action against users who violate these terms, including account suspension or termination.

7. Your Content and Data

You retain all rights to the data and documents you upload to the Service ("Your Content"). By uploading Your Content, you grant us a limited license to store, process, and display it solely for the purpose of providing the Service to you.

You are responsible for:

• The accuracy and legality of Your Content
• Ensuring you have the right to upload and share Your Content
• Maintaining backup copies of important documents

While we implement industry-standard security measures, you acknowledge that no system is completely secure. We are not liable for unauthorized access to Your Content resulting from circumstances beyond our reasonable control.

8. Intellectual Property

The Service, including all software, design, text, graphics, and other content (excluding Your Content), is owned by us and protected by UK and international copyright, trademark, and other intellectual property laws.

You may not:

• Copy, modify, or create derivative works of the Service
• Use our trademarks or branding without written permission
• Remove or alter any copyright notices or proprietary markings

9. Service Availability and Modifications

We strive to maintain 99.9% uptime but do not guarantee uninterrupted access to the Service. We may:

• Perform scheduled maintenance (with advance notice when possible)
• Modify, update, or discontinue features of the Service
• Suspend the Service temporarily for technical issues or security concerns

We will make reasonable efforts to notify you of significant changes or extended downtime.

10. Disclaimers and Limitation of Liability

The Service is provided "as is" without warranties of any kind, either express or implied. We do not warrant that:

• The Service will meet your specific requirements or compliance needs
• The Service will be error-free or uninterrupted
• Any errors will be corrected within a specific timeframe
• Use of the Service will guarantee compliance with regulatory requirements

Limitation of Liability: To the maximum extent permitted by UK law, we shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Service, including but not limited to:

• Loss of data or business records
• Regulatory fines or penalties
• Loss of profits or business opportunities
• Service interruptions or data breaches

Our total liability for any claims relating to the Service is limited to the amount you paid us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under UK law.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of third parties
• Your Content or data uploaded to the Service

12. Termination

We may suspend or terminate your access to the Service immediately, without notice, if:

• You breach these Terms
• Your account shows signs of fraudulent activity
• We are required to do so by law
• You fail to pay subscription fees

Upon termination, your right to use the Service ceases immediately. Data retention following termination is governed by our Privacy Policy.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of England and Wales. Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes by:

• Posting a notice on the Service
• Sending an email to your registered address

Your continued use of the Service after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must cancel your subscription.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid under applicable law, that provision will be modified to the minimum extent necessary to make it enforceable, or if that is not possible, it will be severed from these Terms. The remaining provisions will continue in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and us regarding the Service and supersede all prior agreements and understandings.
